The following terms and conditions for purchases of our Digital Product (the "Digital Product Terms & Conditions") are entered into between you, our customer (referred to as "you" or "your"), and DT Entrepreneurial Enterprises, Inc., a business located at 647 E 75th Street
(referred to as "DT E Enterprises", "we", "our", or "us").

Email Consent and Marketing Communications

By providing your email address in exchange for a Free Resource, you expressly consent to receive email communications from DT E Enterprises, including but not limited to:

a) delivery of the requested Free Resource;

b) follow-up educational content related to the Free Resource;

c) information about our paid Digital Products, programs, and services;

d) periodic newsletters, promotional offers, and business updates.

You may withdraw your consent and unsubscribe from marketing communications at any time by clicking the "unsubscribe" link included in every marketing email or by contacting us at [email protected]. Please allow up to 10 business days for your request to be processed.

Withdrawing consent to marketing communications does not affect the lawfulness of any communications sent before your withdrawal, and we may still contact you for transactional or legal purposes where required.

Data Collection — Free Resources

When you request a Free Resource, we collect your name and email address (and any other information you voluntarily provide). This information is:

a) used to deliver the requested Free Resource to you;

b) added to our email marketing list with your consent, as described above;

c) stored and processed by our third-party email service provider(s); and

d) handled in accordance with our Privacy Policy.

We do not sell your personal information to third parties. Payment Required for Access to Digital Products

By purchasing the Digital Product, you understand and acknowledge that you are entering into a legally binding contract with DT E Enterprises, which requires you to pay the fees in full in exchange for access to the Digital Product.

You will only be allowed to use the Digital Product when we receive payment in full, or the first installment of your selected payment plan.

Due to the nature of online payments, your payment may appear as "pending" or a similar status for several days. As a gesture of good faith, we provide access immediately when you make a payment, but if the payment then fails, we may revoke your access immediately without notifying you.

By making a payment online with your credit or debit card, you give us permission to automatically charge your payment method for the amounts specified on the Digital Product purchasing page. You also give us permission to share your payment information and instructions required to complete any and all payments in the transaction with our third-party payment providers.

Note: Free Resources do not require payment. Access to Free Resources is governed solely by the Free Resource sections of these Terms & Conditions. 

Payment Authorization

By electing to pay through a payment plan:

a) You authorize DT E Enterprises to charge your payment method automatically for each subsequent payment without further authorization or notice to you (unless required by law).

b) You understand that it is your responsibility to ensure that the payment method we have on file for you is valid for the duration of the payments you have committed to in the payment plan. If your payment method becomes invalid before completing all payments in the payment plan, you must provide an alternate payment method before your next payment is due by writing to us at [email protected].

c) You understand that you are required by law to complete all remaining payments of your payment plan unless you have correctly requested and been granted a refund in accordance with these Digital Product Terms & Conditions.

In summary, you commit to paying in full, and you may not cancel or avoid any of the payments in any selected payment plan except by correctly using the refund policy.

Consequences of Failed Payments

In the event any payment fails or is not made by the due date, your access to the Digital Product and the Online Community will be immediately suspended, and any rights or licenses to use the Digital Product and related materials will be revoked immediately.

The first time a payment fails or a payment deadline is missed, if you subsequently make the payment that was due, we will not take any further action and your access will be restored.

If there is any subsequent failed or missed payment, the total remaining balance on your payment plan will become due immediately, regardless of how many payment installments remain. Your access will be restored once you have paid in full.

We reserve the right to charge an additional fee for dealing with repeated missed or failed payments. This fee will be a reasonable amount to compensate us for the additional administrative burden directly related to your failed or missed payment.

By agreeing to these Digital Product Terms & Conditions, you acknowledge that these are fair and reasonable consequences for failed and/or missed payments.

Refund Policy

We want you to be satisfied with your purchase. For this reason, we offer the following "No Fuss" refund policy.

If you are not satisfied with your purchase and would like to request a refund, you can email us at [email protected] within 14 days of the delivery date, and if you have met the conditions of our refund policy, we will give you your money back.

Our policy is in addition to any legal rights you may have through legislation that applies to your purchase. If you believe that a law in your geographic area entitles you to a refund outside of what is permitted by this policy, please contact us at  [email protected]. We will verify our legal obligations, and if required, we will provide you with a refund.

Note: Free Resources are provided at no cost and are therefore not subject to this refund policy.

What Is Included with Your Digital Product Purchase

As part of the Digital Product, DT E Enterprises will provide the following, as applicable to your specific purchase:

Access and Access Instructions

You will receive an email with instructions on how to access the Digital Product shortly after your purchase. You will have access to the Digital Product from the date of your purchase (the "Start Date"). We will maintain your access to the Digital Product via a digital platform, and your login details will be provided in the instructions email (the "Platform").

"Lifetime" Access

Your purchase of the Digital Product comes with "lifetime" access, which means that you will be able to access the Digital Product via the Platform for as long as the Digital Product remains published (not your lifetime or our lifetime, but the lifetime of the product being made available by us to the public).

If we decide to unpublish the Digital Product at any time in the future, you will receive a notification that gives you at least 30 days to download all of the materials related to the Digital Product from the Platform before it is unpublished.

If the location or method of access to the Digital Product or the Platform changes, you will be notified and be provided with instructions for how to access the Digital Product at its new location.

Note: "Lifetime" access applies only to paid Digital Products. Free Resources may be discontinued, updated, or removed at any time without prior notice. DT E Enterprises is not obligated to maintain ongoing access to any Free Resource. Group and cohort-based programs have defined access periods as described in their respective purchase pages.

Online Courses and Self-Paced Programs

Where your Digital Product is an online course or self-paced program, the following additional terms apply:

a) Course content will be delivered via the Platform in the format described on the purchasing page (self-paced, drip-released, or cohort-based). DT E Enterprises reserves the right to adjust the delivery schedule or format with reasonable notice.

b) You are responsible for progressing through the course at a pace that works for you. DT E Enterprises does not guarantee that you will complete the course or achieve any particular outcome as a result of enrollment.

c) Failure to complete a course does not entitle you to a refund outside of the refund policy set forth in these Terms & Conditions.

d) Course content, including video lessons, worksheets, and supplemental materials, is protected by copyright. You may not record, screenshot, download, or redistribute course content without prior written permission from DT E Enterprises. e) DT E Enterprises reserves the right to update, expand, or modify course content at any time. Updates and improvements are provided at no additional charge; however, significant overhauls may result in a new product offering.

Group and Cohort-Based Programs

Where your Digital Product is a group coaching program, cohort experience, or live workshop (including but not limited to the CEO RESET Experience and similar offerings), the following additional terms apply:

a) Access to a group or cohort-based program is tied to the specific cohort or program period for which you enrolled. Access does not automatically roll over to subsequent cohorts or program cycles.

b) If you are unable to participate in your enrolled cohort, you may request a one-time deferral to a future cohort, subject to availability and our written approval. Deferrals are not guaranteed and must be requested at least 7 days before the program begins.

c) Each cohort or program cycle has defined start and end dates. Access to live sessions, community interactions, and program materials will be provided during those dates only, unless otherwise stated on the purchasing page.

d) Recordings of group sessions, where provided, are made available as a courtesy and are not guaranteed. Technical failures that prevent recording do not entitle you to a refund.

e) Group programs are designed for active participation. DT E Enterprises does not offer refunds or credits based on your level of participation or attendance within the program period.

Live Sessions, Office Hours, and Q&As

Where your Digital Product includes live sessions, office hours, coaching calls, or question-andanswer interactions, the following terms apply:

a) Live sessions are educational in nature. Any guidance, feedback, or responses provided during live sessions by DT E Enterprises staff, contractors, or Deona Thomas personally are informational only and do not constitute professional financial, legal, health, or business advice.

b) By participating in a live session, you consent to being recorded for internal use, playback access for enrolled participants, and potential use in future educational materials or marketing. If you do not wish to be recorded, it is your responsibility to keep your camera and microphone off and to refrain from identifying yourself in chat.

c) Live session schedules are published in advance and are subject to change. DT E Enterprises will provide reasonable notice of any scheduling changes. Cancellation or rescheduling of a single live session does not entitle you to a refund.

d) DT E Enterprises is not obligated to provide one-on-one attention or individualized responses to every participant in a group live session.

Interactive Web-Based Tools and Calculators

Where your Digital Product or Free Resource is an interactive web-based tool, calculator, or assessment (including but not limited to financial clarity tools and business assessment applications), the following additional terms apply:

a) Web-based tools are provided "as is" and are dependent on third-party hosting infrastructure. DT E Enterprises cannot guarantee uninterrupted access or error-free performance.

b) Results produced by any tool or calculator are based solely on the information you input and are for educational purposes only. They do not constitute professional advice. See the Financial Disclaimer and General Educational Disclaimer sections of these Terms & Conditions.

c) DT E Enterprises reserves the right to update, modify, or discontinue any web-based tool at any time. We will provide reasonable notice before discontinuing a tool that was included in a paid Digital Product.

d) Data you enter into any web-based tool is processed as described in our Privacy Policy. We do not store or share your tool inputs with third parties for marketing purposes.

The Online Community

We may maintain an online community that you will optionally have access to as a customer of the Digital Product (the "Online Community"), which will be available to you from the Start Date.

The Online Community provides a forum for you to connect with other Digital Product customers and to seek guidance and support. We will seek to interact with Digital Product participants in the group, but we do not make any guarantees about participation by us or other members.

You are required to abide by all rules posted in the Online Community. If you do not follow the rules, you will lose your right to participate in the Online Community, and you will not receive any discount or refund.

Downloadable Materials

You will receive downloadable materials (which may be PDF, docx, video, audio, or any other format) as part of the Digital Product. The downloadable materials are yours to use and keep, subject to the licenses granted in these Digital Product Terms & Conditions.

Templates

You will receive access to templates that are intended for use with a particular software or platform. You will need to create an account with a third-party software or service provider.

Bonuses

From time to time, DT E Enterprises may offer bonuses to those who purchase a Digital Product. You are entitled to any bonuses offered to you at the time of purchase. The details of those bonuses as well as any specific requirements or conditions of use will be made clear to you on the checkout page and/or in your email confirmation.

Bonuses

Third-Party Platform Dependency

DT E Enterprises delivers Digital Products through third-party platforms and tools, including but  not limited to course delivery platforms (such as Kajabi), payment processors, email service  providers, video hosting services, and web hosting providers (collectively "Third-Party  Platforms"). 

DT E Enterprises is not responsible for any interruption, data loss, feature change, pricing  change, or discontinuation of service by any Third-Party Platform. In the event that a Third-Party  Platform becomes unavailable or undergoes significant changes that affect your access to a  Digital Product, DT E Enterprises will make reasonable efforts to migrate content to an  alternative platform and notify you accordingly. 

By purchasing a Digital Product, you acknowledge that access may be subject to the terms of  service of Third-Party Platforms, and you agree to comply with those terms as required. 

Intellectual Property 

All content included as part of the Digital Product or any Free Resource, in any format, including  but not limited to video recordings, audio files, written materials, tools, templates, frameworks,  assessments, and any software used in delivering the Digital Product or Free Resource, is the  property of DT E Enterprises (or our suppliers) and is protected by copyright and other  intellectual property legal protections. 

Proprietary frameworks, methodologies, and systems created by Deona Thomas — including  but not limited to the Purpose-Powered Business OS™, the CEO Core 4™, the F.E.A.E.L.™ Business Growth Model, the 12 Pillars of Purpose-Powered Profitability™, The Life-Aligned  CEO Method™, and related frameworks — are the exclusive intellectual property of DT E Enterprises and may not be reproduced, taught, or distributed without express written  permission.

Your purchase of the Digital Product, or access to a Free Resource, does not result in a transfer  of any intellectual property to you. As a condition of your use of the Digital Product or any Free  Resource, you agree to observe and abide by all copyright and other intellectual property laws. 

You cannot use, copy, modify, adapt, reproduce, store, distribute, print, display, perform, or  publish any of our intellectual property except as specifically allowed by these Digital Product  Terms & Conditions or with prior written consent from us. 

License

License for Paid Digital Products 

You are granted a single-use, non-exclusive, non-transferable, revocable license to access and  use the Digital Product, including all content and resources contained within the Digital Product  for your own business's use to achieve the outcomes set out on the Digital Product's purchasing  page (the "Purpose"). 

You agree that you will not modify, publish, transmit, reverse engineer, transfer, create  derivative works, or in any way exploit any of the content, or any part of the content, found in the  Digital Product, except to the extent required to fulfill the Purpose. You also agree that you will  not use your access or any part of the content in order to compete with DT E Enterprises or to  harm our business prospects or relationships. 

Our content is not for resale. You will not delete or alter any proprietary rights or attribution  notices in any content. You will use protected content solely for your individual use or your  business's use to achieve the Purpose. You will not use the content in any other way without  our specific written permission. 

You understand that you do not acquire any ownership rights in any protected content. We do  not grant you any licenses, express or implied, to the intellectual property except as specified in  these Digital Product Terms & Conditions. 

You also agree that any infringement of intellectual property rights will result in an immediate  termination of the license with no refund. 

If you violate the terms of this license, your access to the Digital Product, the Online  Community, and any other related content will be terminated immediately, and you are not  entitled to any refund (in part or in full).

Furthermore, if you violate this license by giving or selling a copy of our content to anyone other  than a license holder, sharing your account with anyone other than a license holder, or if you  imply that anyone who gets access to our content has the right to use it for his/her/its  commercial purposes, we reserve the right to invoice you for the licenses you have gifted or  sold to others. 

License for Free Resources (Lead Magnets) 

Upon accessing a Free Resource, you are granted a single-use, non-exclusive, non transferable, revocable license to use the Free Resource for your own personal or business  purposes only. 

You may not:

a) resell, redistribute, or share the Free Resource with others; 

b) reproduce or repackage the Free Resource as your own content; 

c) use the Free Resource to create competing products or services; or 

d) remove any proprietary notices, branding, or attribution from the Free Resource.

All intellectual property protections described in the "Intellectual Property" section of these  Digital Product Terms & Conditions apply equally to Free Resources. 

Confidentiality 

DT E Enterprises respects the privacy of its customers and will not disclose any Confidential  Information you provide except as described in these Digital Product Terms & Conditions. 

"Confidential Information" is any information about a person or business which is not generally  available to the public and that a reasonable person would consider to be confidential. This  includes, but is not limited to:

a) information you share with us about yourself, your contact details, and your payment  information; 

b) the Digital Product materials, in whatever format they are provided; 

c) information about business strategies, operations, financials, marketing plans, methods,  forms, processes, templates, and future plans; and 

d) information about customers, including their personal details and situations.

Due to the nature of the content in the Digital Product and group programs, you will be exposed  to Confidential Information belonging to both DT E Enterprises and other Digital Product  customers or program participants.

As a condition of using the Digital Product, you agree to protect the Confidential Information of  other participants and not share it outside the Online Community or program environment  unless specifically allowed by these Digital Product Terms & Conditions or you have our written  permission to do so. This obligation continues after your access to the Digital Product ends. 

Your Confidential Information may be shared with our staff, sub-contractors, and/or third-party  providers only to the extent necessary in order to provide the best services to you. If we do have  to share your Confidential Information for this purpose, we will ensure that any person to whom  it is disclosed also stores and treats the Confidential Information with the appropriate level of  security and secrecy.

Personal Responsibility 

By using the Digital Product or any Free Resource, you accept personal responsibility for the  results of your actions. You agree that DT E Enterprises has not made any guarantees about  the results of taking (or choosing not to take) any action, whether recommended in the Digital  Product, any Free Resource, or during any live session or group program. 

DT E Enterprises provides educational and informational resources that are intended to help  you. However, you recognize that your ultimate success or failure will be the result of your own  efforts, your particular situation, and innumerable other circumstances beyond the control and/or  knowledge of DT E Enterprises. 

You also recognize that prior results do not guarantee a similar outcome. Therefore, the results  obtained by others, whether they are current or past customers of the Digital Product or Free  Resource recipients, do not guarantee that you or any other person or entity will be able to  obtain similar results. 

You agree to take full responsibility for any harm or damage you suffer as a result of the use, or  non-use, of the information available in the Digital Product or any Free Resource. You agree to  use your judgment and conduct due diligence before taking any actions or implementing any  plan or policy suggested or recommended in the Digital Product, any Free Resource, or during  any live or group session. 

Free Resource Disclaimer 

Free Resources are provided for general educational and informational purposes only. They do  not constitute professional business, financial, legal, health, or other advice. DT E Enterprises  makes no representations or warranties regarding the accuracy, completeness, or fitness for  any particular purpose of any Free Resource.

Results obtained by others who have used our Free Resources do not guarantee that you will  achieve similar results. Your outcomes depend entirely on your individual efforts,  circumstances, and decisions. 

DT E Enterprises reserves the right to modify, update, discontinue, or remove any Free  Resource at any time and without notice or obligation to you. 

Materials and Information Provided by You 

You own all of the information or materials (including comments, questions, feedback,  suggestions, and testimonials) you may provide during use of the Digital Product or any Free  Resource, or post, upload, input, or submit on any platform or social media (collectively, the  "Contributions"). DT E Enterprises will never claim ownership of these Contributions which  belong to you. 

However, by posting, uploading, inputting, providing, or submitting your Contributions, you are  granting DT E Enterprises, our affiliated companies, and our sub-licensees permission to use  your Contribution in connection with the operation of their businesses including the rights to: 

a) copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate,  and reformat your Contribution (or any part of the Contribution); and 

b) publish your name, your image, and your business name and logo (if applicable) in  connection with your Contribution. 

In other words, DT E Enterprises has the right to include your Contributions - including any  audio or video recordings of you participating in or contributing to the Digital Product (if  applicable) - in the Digital Product, other similar Digital Products, and marketing materials going  forward. 

No compensation will be paid for the use of your Contributions in accordance with the rights  granted in these Digital Product Terms & Conditions. DT E Enterprises is under no obligation to  post or use any Contributions you may provide and may remove any Contributions at any time  at DT E Enterprises's sole discretion. 

By posting, uploading, inputting, providing, or submitting your Contributions you warrant and  represent that you own or otherwise control all of the rights to your Contributions. 

DT E Enterprises will never use any Contributions in a way that harms your business prospects  or reputation. If any Contribution includes the identifiable personal information of an individual  other than you, DT E Enterprises will anonymize that portion before publishing any Contribution.

Technology and Availability 

Your use of the Digital Product, any Free Resource, and any associated services may  sometimes be subject to interruption or delay. 

Due to the nature of the Internet and electronic communications, we and our service providers  cannot guarantee that our websites, platforms, emails, or any associated services will be error  free, without interruption or delay, or free from defects in design. 

We will not be held responsible if our websites, platforms, or the services supplied through them  become unavailable, interrupted or delayed, or cause technical difficulties or glitches, regardless  of the reason. 

No Warranties 

THE DIGITAL PRODUCT AND ALL FREE RESOURCES, INCLUDING ALL CONTENT AND  RESOURCES CONTAINED WITHIN THEM, ARE PROVIDED TO YOU "AS IS." 

TO THE FULLEST EXTENT ALLOWED BY THE LAW, WE MAKE NO PROMISES (AKA  WARRANTIES) ABOUT THE DIGITAL PRODUCT OR ANY FREE RESOURCE, WHETHER  EXPRESS, IMPLIED, OR STATUTORY. THIS INCLUDES (BUT IS NOT LIMITED TO)  WARRANTIES ABOUT: BEING MARKETABLE, FITNESS FOR A PARTICULAR PURPOSE,  OR NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. 

WE DO NOT PROMISE (AKA WARRANT) THAT THE DIGITAL PRODUCT OR ANY FREE  RESOURCE WILL MEET YOUR SPECIFIC REQUIREMENTS, THAT IT WILL BE ERROR FREE, OR THAT IT WILL ALWAYS BE AVAILABLE.

Limitation of Liability 

YOU AGREE THAT DT E ENTERPRISES IS NOT LEGALLY OR FINANCIALLY  RESPONSIBLE FOR ANY LIABILITY OR LOSS YOU SUFFER RELATED TO ACCESSING  OR USING ANY PART OF THE DIGITAL PRODUCT, ANY FREE RESOURCE, OR ANY  INFORMATION/RESOURCES CONTAINED IN THEM. 

YOU ALSO AGREE THAT, TO THE FULLEST EXTENT ALLOWED BY THE LAW, WE ARE  NOT LIABLE FOR ANY KIND OF DAMAGES, INCLUDING BUT NOT LIMITED TO: DIRECT,  INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL LOSS OR DAMAGES  RELATED TO YOUR ACCESS OR USE OF THE DIGITAL PRODUCT OR ANY FREE  RESOURCE (SUCH AS LOSS OF USE, DATA, OR PROFITS AS WELL AS DELAYS OR  INABILITY TO USE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED  GRAPHICS).

OUR CONTROL, AND WE DO NOT ACCEPT ANY LIABILITY FOR SUCH CIRCUMSTANCES,  EVEN IF THEY AFFECT YOUR ABILITY TO ACCESS OR USE THE DIGITAL PRODUCT OR  ANY FREE RESOURCE. 

NOTHING IN THESE DIGITAL PRODUCT TERMS & CONDITIONS EXCLUDES OR LIMITS  OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD  OR FRAUDULENT REPRESENTATION, OR ANY OTHER LIABILITY WHICH CANNOT BE  LIMITED OR EXCLUDED BY APPLICABLE LAW IN YOUR JURISDICTION. HOWEVER, YOU  AND DT E ENTERPRISES BOTH ACKNOWLEDGE THAT SUCH A CIRCUMSTANCE IS  HIGHLY UNLIKELY GIVEN THE NATURE OF THE DIGITAL PRODUCT AND FREE  RESOURCES. 

IF YOU ARE NOT SATISFIED WITH THE DIGITAL PRODUCT, ANY FREE RESOURCE, OR  ANY PORTION OF THEM, YOUR ONLY OPTION IS TO STOP USING THEM. IN THIS CASE,  NO REFUND OR REBATE WILL BE GIVEN FOR FREE RESOURCES (AS THEY ARE  PROVIDED AT NO COST), AND NO REFUND WILL BE GIVEN FOR PAID DIGITAL  PRODUCTS EXCEPT IF YOU CORRECTLY USE THE REFUND POLICY IN THESE DIGITAL  PRODUCT TERMS & CONDITIONS. 

Compensation for Wrongdoing (Indemnities) 

You agree to indemnify, defend, and hold harmless DT E Enterprises, its officers, directors,  employees, agents, and third parties for any losses, costs, liabilities, and expenses (including  reasonable legal fees) arising from: 

a) your use of or inability to use the Digital Product, any Free Resource, and related  services, 

b) any Contributions made by you, 

c) your violation of any terms of these Digital Product Terms & Conditions, d) your violation of any rights of a third party, or 

e) your violation of any applicable laws, rules, or regulations.

Termination and Access Restriction 

DT E Enterprises reserves the right to terminate your access to the Digital Product, any Free  Resource, and any related services at any time if: 

a) you become disruptive or abusive to DT E Enterprises staff or other program  participants;

b) you fail to follow the Digital Product guidelines, rules, or any other reasonable  instructions from DT E Enterprises; or 

c) you otherwise violate these Digital Product Terms & Conditions.

You will not be entitled to a refund of any portion of the fees if we terminate your access to a  paid Digital Product for any of these reasons. Access to Free Resources may be revoked at any  time without notice and without any obligation to you.
